Affiliate & Creator Partnerships, Terms and Conditions

Overview

These Terms and Conditions (“Terms”) outline the relationship between Bambino Mio Ltd. (“Bambino Mio,” “we,” “our,” “us”) and you as a Brand Ambassador, Influencer or Content Creator, (“you,” “your”). By participating in our program, you agree to comply with these Terms.

Eligibility

To participate, you must:

• Be at least 18 years old.
• Have an active social media presence with a minimum follower count of 3,000.
• Produce content in line with Bambino Mio’s brand values and guidelines.
• Follow @BambinoMio on Instagram / TikTok (as appropriate).

Program Participation

1. Content Creation: You agree to create at least one grid post and share original content (including but not limited to photos, reels, social media posts) featuring Bambino Mio products as per the campaign brief provided to you.

2. Content Guidelines: All content must:

• Accurately represent Bambino Mio products – including full product name and short copy on the product (benefits, USPs, own opinion).·
• Include required hashtags, tags, and disclosure statements (e.g., #ad, #sponsored).
• Be respectful, non-offensive, and comply with community standards.

3. Brand Partnership Commitment: While working with us, you are welcome to collaborate with other baby-related brands. However, to maintain brand alignment, we ask that you do not promote competing reusable nappy brands while your content with us is live, unless you receive prior written consent from us.

4. Approval and Review: Bambino Mio reserves the right to review and approve all content before it is published. We may request modifications to ensure alignment with our brand guidelines.

Compensation and Benefits

1. Compensation: As a Brand Ambassador you will be gifted product from the current campaign to promote, as a result a choice of designs, may at times be restricted to align with campaign content You will have the opportunity to receive up to 10% monetary commission payment from net Bambino Mio products sold via your social media content promotion (Excluding VAT/Shipping) . You will be given a unique code to share with your followers that they can use at the checkout. Commission will be calculated and paid on a monthly basis. Payments are made 1 month in arrears – For example sales Jan- Feb paid before end of Feb.

2. Benefits: You may receive benefits such as early access to new products, invitations to events, and gifted product to use.

Intellectual Property

1. Ownership: You retain ownership of the original content you create. However, by participating in the program, you grant Bambino Mio and any official Bambino Mio distributor a non-exclusive, perpetual, royalty-free, worldwide license to use, reproduce, distribute, and display your content on our website, social media, and marketing materials.

2. Attribution: On social media, we will credit you as the creator of the content.

Confidentiality

You agree not to disclose any confidential information, trade secrets, or proprietary information of Bambino Mio to any third parties. Confidential information includes but is not limited to, upcoming product releases, marketing strategies, and business plans.

Termination

1. Termination by Bambino Mio: We reserve the right to terminate your participation in the program at any time for any reason, including but not limited to failure to comply with these Terms or producing content that does not meet our standards.

2. Termination by You: You may terminate your participation by providing 30 days’ written notice to Bambino Mio.

3. Effect of Termination: Upon termination, you must cease using Bambino Mio products in new content and remove existing content featuring Bambino Mio products if requested.

Compliance with Laws

You agree to comply with all applicable laws and regulations, including but not limited to advertising and endorsement disclosure requirements.

Limitation of Liability

To the fullest extent permitted by law, Bambino Mio will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with your participation in the program.

Miscellaneous

1. Amendments: Bambino Mio reserves the right to modify these Terms at any time. Changes will be communicated to you and continued participation in the program constitutes acceptance of the revised Terms.

2. Governing Law: These Terms are governed by the laws of the United Kingdom. Any disputes will be resolved in the courts of the United Kingdom.

3. Entire Agreement: These Terms constitute the entire agreement between you and Bambino Mio regarding your participation in the program and supersede all prior agreements and understandings.

By participating in the Bambino Mio Affiliate & Creator Partnerships, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
